March 2, 2026

In a development that reflects the continued digitalisation of corporate governance, recent amendments to the Companies Act place increased emphasis on a company’s registered electronic mail address.

In her insightful article published in The Times of Malta, our Associate Dr Emma Fenech examines why this seemingly administrative requirement carries significant implications for directors and company secretaries.  Click the following link to read the full article.

Company officers are now under a statutory duty to ensure that the registered email address is properly maintained and actively monitored, so that any communication from the Registrar of Companies is promptly brought to the attention of an officer of the company.

“In today’s regulatory environment, corporate compliance begins with ensuring that the company’s digital doorway remains open, monitored and responsibly managed.” — Dr Emma Fenech

The registered email address now constitutes the formal channel through which the Malta Business Registry communicates regulatory notices, reminders and other official correspondence. Inadequate oversight may result in missed deadlines and avoidable regulatory consequences.

At David Zahra & Associates Advocates, we encourage directors and company secretaries to review their internal compliance procedures to ensure that this statutory obligation is effectively implemented and supervised.
