Malta has taken a major step towards modernising sports governance with the introduction of the Sports Private Limited Liability Company (“SPLLC”), a new legal structure aimed at strengthening the management and sustainability of sports clubs.
Introduced through the Sports Private Limited Liability Companies Regulations, 2026, the framework will be available to clubs from 10 June 2026. Existing clubs will be able to transition into this structure, with continuity of their rights and obligations maintained.
The new regime enables clubs to operate through a corporate vehicle while retaining their sporting identity. An SPLLC becomes the legal entity responsible for the club’s management and operations, while allowing it to generate revenue through activities that support its core sporting purpose.
The model seeks to balance commercial growth with sporting integrity. Clubs may raise finance, hold assets and engage in revenue-generating activities, provided these remain ancillary to their primary sporting function.
Key safeguards have also been introduced:
- ownership is split between commercial investors and a non-profit entity, ensuring continued community involvement, while,
- rules on conflicts of interest and regulatory oversight by the Authority for Integrity in Maltese Sport aim to protect fair competition and good governance.
